What are we looking for?

We’re looking for exciting, high growth companies run by ambitious and talented entrepreneurs. We focus on commercially proven businesses where we can provide growth capital, potentially across multiple investment rounds. We’re sector agnostic with extensive experience across technology, healthcare, consumer discretionary, food and beverage, leisure, industrial and aerospace.

Specifically, we look for UK companies with:

  • A high quality entrepreneurial management team, supported by an in-house CFO/FD
  • A commercially proven business model with at least £1m of revenues reported (or £1m of ARR) within the last 12 months
  • Strong verifiable unit economics
  • An established board with at least one non-executive director.

Our portfolio companies must be VCT-qualifying as defined in s.286 of the Income Tax Act 2007 (ITA07/S286).

Deal structure

We typically invest £1.5m - £3m for a stake of up to 25%. Investment structures are tailored to the situation but can include ordinary shares, preference shares and convertible loan notes.

Governance and oversight

We would expect to be granted board observer rights and have the right to appoint an experienced independent non-executive director (from outside of CGAM). Typically, this would be someone with an established track record as either the chief executive or finance director of a UK listed company.

What to expect

A typical investment process runs for two to three months. We would expect to complete legal, financial and ESG due diligence using internal resources and commercial due diligence using third-party providers. Through the process we will interview the senior leadership team, board members and take references from key customers. We will issue a letter of intent once the key commercial terms and timetable is agreed. This will be followed by a term sheet once the initial due diligence is complete.
